1. Introduction

Welcome to VORAXS ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the VORAXS application, website, and associated services (the "Platform").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use VORAXS.

2. Definitions

  • VORAXS: The platform and associated services operated under the VORAXS brand.
  • Athlete / User: Any individual accessing or using the platform for sports-related activities.
  • Venue: An independent sports facility, club, complex, pitch, or court participating in VORAXS.
  • Activity: A sporting event created, discovered, joined, or managed through VORAXS.
  • Booking: A reservation or arrangement involving a Venue through VORAXS.

3. Eligibility

You must be at least 13 years old to use VORAXS.

If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you must have the permission and guidance of a parent or legal guardian to use the Platform and participate in Activities.

4. Account Registration & Security

  • You must provide accurate, complete, and current information during registration.
  • You may not impersonate any person, athlete, or entity.
  • You are solely responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your account.

5. VORAXS Proprietary Technology

VORAXS utilizes proprietary systems, rules, algorithms, signals, and automated processes to provide, personalize, and operate its services (including matchmaking, venue discovery, and the Merit score system).

You explicitly agree not to reverse engineer, decompile, disassemble, scrape, copy, extract, or exploit the source code, underlying logic, scoring algorithms, weighting systems, or technical architecture of VORAXS except where applicable law expressly permits.

6. Discovery & Matchmaking Limitations

VORAXS facilitates discovery and matchmaking to help users find sporting opportunities. However, VORAXS does not guarantee:

  • That a game will successfully occur.
  • That players will attend as promised.
  • That a match will be perfectly balanced in terms of skill or intensity.
  • That personality compatibility or sportsmanship will be ideal.

Recommendations and matches are based on available information and may change. We do not control human behavior in the real world.

7. User Conduct & Fair Play

You agree to participate fairly and respectfully. The following behavior is strictly prohibited:

No-Shows / Ghosting

Repeated failure to attend confirmed activities disrupts the ecosystem. This will severely damage your Merit Score and may result in a booking ban.

Real-World Misconduct

Violence, threats, harassment, discrimination, vandalism, or theft at Venues will result in immediate termination.

Fraud

Fraudulent bookings, fake accounts, payment evasion, or manipulation of the Merit system are prohibited.

8. Sports Safety & Assumption of Risk

Sports activities involve inherent physical risks, including but not limited to falls, collisions, physical exertion, equipment failure, and severe injuries.

  • You are solely responsible for determining whether you are physically fit to participate.
  • You assume all risks associated with participation in Activities organized via VORAXS.
  • VORAXS is not an emergency service. In case of injury or danger, contact local emergency services or Venue staff immediately.

9. User-Generated Content

You retain ownership of the content you post (profiles, messages, clips, posts). However, by uploading content, you grant VORAXS a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute this content as reasonably necessary to operate the Platform.

You must not upload illegal, hateful, sexually exploitative, or infringing content. We reserve the right to moderate, restrict, or remove content at our discretion.

10. Venue & Booking Services

VORAXS facilitates digital interactions between Athletes and independent Venues.

  • Venues are independent operators. VORAXS does not own, maintain, or secure the physical facilities, pitches, or courts.
  • Venues are solely responsible for the safety, maintenance, and legality of their physical premises.
  • Bookings are subject to specific Venue rules, changing availability, and confirmation statuses.

11. Payments, Cancellations & Refunds

PLATFORM PAYMENTS NOT CURRENTLY ACTIVE

VORAXS does not currently process direct payments for venue bookings on the platform. Any fees, payments, cancellations, or refunds are handled directly by the independent Venues according to their own specific policies. You are responsible for honoring your financial commitments to the Venues you book with.

12. VORAXS Intellectual Property

All rights, title, and interest in and to the Platform (including the VORAXS name, trademarks, logos, UI, software, text, and databases) belong to VORAXS. You receive a limited, non-transferable right to use the service. You do not acquire any ownership over VORAXS technology.

13. Privacy & International Hosting

Your use of VORAXS is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

Note: VORAXS infrastructure is hosted on servers located in the Netherlands. By using the platform, you acknowledge the international transfer of data as described in the Privacy Policy.

14. Limitation of Liability

VORAXS aims to provide a reliable digital service, but cannot guarantee uninterrupted availability or absolute perfection of third-party integrations.

To the maximum extent permitted by applicable law, VORAXS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any physical injuries, property damage, or disputes occurring at a physical Venue or during an Activity.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable Moroccan consumer protection laws (e.g., Law 31-08).

15. Account Suspension & Termination

We reserve the right to suspend or terminate your account if you violate these Terms (including repeated no-shows, harassment, or fraud), or if required by law. You may also terminate your account at any time. Provisions concerning Intellectual Property, Liability, and Governing Law shall survive termination.

16. Governing Law & Jurisdiction

Subject to mandatory consumer protections under Law 31-08, these Terms shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any legal action or proceeding shall be brought exclusively in the competent courts of Casablanca, Morocco.
